Youngevity International (NASDAQ: YGYI), a leading multi-channel lifestyle company operating in three distinct business segments including a commercial coffee enterprise, commercial hemp enterprise and multi-channel lifestyle company, on Monday announced its receipt of a letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC indicating that, as a result of the delay in filing its Annual Report on Form 10-K for the fiscal year ended December 31, 2019, Youngevity is not in compliance with the timely filing requirement for continued listing under Nasdaq Listing Rule 5250(c)(1). According to the update, the letter has no immediate effect on the listing or trading of Youngevity’s common stock on the Nasdaq Market, and Nasdaq has informed Youngevity that it must submit a plan of compliance within 60 calendar days of receipt of the letter addressing how it intends to regain compliance with Nasdaq’s listing rules. If Nasdaq accepts the plan, it may grant an extension of up to 180 calendar days from the Form 10-K original filing due date to regain compliance.
In addition, Youngevity today announced that its wholly owned subsidiary, Khrysos Industries, Inc., has begun producing hand sanitizer in various sizes including 2 oz., 4 oz., 8 oz., and 1 gallon packaging. The FDA granted the company a license to begin producing hand sanitizer in its Orlando, FL facility, which it bought late last year, and Khrysos expects to be well positioned to utilize its operation to produce hand sanitizer that is in high demand due to the impact of the coronavirus. “We began shipping hand sanitizer today and expect to ramp up production as necessary to meet the demand that is still in short supply,” YGYI President and CFO Dave Briskie said in the news release. “Our team at Khrysos is taking great pride in providing this product especially to the nurses and doctors that are out there on the front line fighting for those inflicted with this horrible virus.”

(NASDAQ: YGYI), a leading multi-channel lifestyle company operating in three distinct business segments including a commercial coffee enterprise, commercial hemp enterprise and multi-channel lifestyle company, today announced that it received a letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that, as a result of Youngevity’s delay in filing its Annual Report on Form 10-K for the fiscal year ended December 31, 2019 (the “Form 10-K”), Youngevity is not in compliance with the timely filing requirement for continued listing under Nasdaq Listing Rule 5250(c)(1). The notification letter has no immediate effect on the listing or trading of Youngevity’s common stock on the Nasdaq Market.
Youngevity filed a Notification of Late Filing on Form 12b-25 on March 16, 2020, indicating that the filing of the Form 10-K would be delayed and the company anticipated filing its 10-K within the 15 day extension period provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended. On March 25, 2020, subsequent to Youngevity’s March 16th Notification of Late Filing, the Securities and Exchange Commission provided extended conditional exemptions from reporting requirements for Public Companies affected by COVID-19, but this exemption and relief was not made available for companies that already had filed a Notification of Late Filing so Youngevity was not provided the relief provided by the SEC. On March 31, 2020, Youngevity issued a press release that advised due the displacement of staff, including substantially all accounting staff, restrictions imposed by various governments, and displacement of our auditors’ staff among other areas of impact, has slowed down the financial reporting and audit process causing the company to miss the filing date of its 10-K.
Nasdaq has informed Youngevity that it must submit a plan of compliance (the “Plan”) within 60 calendar days of receipt of the letter addressing how it intends to regain compliance with Nasdaq’s listing rules and, if Nasdaq accepts the Plan, it may grant an extension of up to 180 calendar days from the Form 10-K original filing due date to regain compliance.

2020 has so far been anything but easy. The year began as the Coronavirus tore through Asia, and in three months it has spread to all continents except Antarctica, infected over 700,000 people worldwide and left at least 40,000 dead. Most of us have never seen anything like this, and experts say that the virus may affect up to 70% of the world’s population before it runs its course.
Naturally, state and national governments have taken steps to curb the spread of the virus. Since it is transmitted through droplets when an infected person coughs or sneezes, social distancing and self-isolation work best. People have been encouraged to stay indoors and only leave when they absolutely have to. All but the most essential businesses have also been ordered to shut down for the meantime as the world grapples with the pandemic.
However, several states have recognized that marijuana is essential, and have taken steps to ensure medical marijuana patients still get their medicine. These include online purchases, home deliveries and curbside pickups.
On Wednesday, the NJ Cannabis Insider hosted a webinar, and three of the state’s well-known cannabis industry leaders discussed the current situation and how to cater to medical marijuana patients. One of the ideas was allowing patients to grow their own medical marijuana, and how it would benefit them in these trying times.
The state’s original medical marijuana law has a provision letting patients grow up to six plants at home, but it was removed to improve the legislation’s chances at the ballot. Industry leaders say such a provision would now be a great help to medical marijuana patients.
“I talk to a lot of folks in the industry. A lot of people think that the industry is fighting this. I have not heard one credible source in the cannabis industry that is opposed,” says Bill Caruso, a founding member of New Jersey United for Marijuana Reform.
He states that the reservations elected officials have about home cultivation are valid due to the prospect of rogue growers feeding the black market with unregulated products. “But if we’re talking about allowing a patient to grow their own strain or something of that effect, I do think that there is an appetite for that.”

In addition, LPBF allows users to utilize a variety of metal powders that are more efficient for creating objects.
However, because the process involves the rapid melting of powder and then re-solidification, users who choose LPBF must consider several thermal gradients, including cooling rates, which can affect the outcome of structures. In their research, the authors of the Nature study quantified cooling rates and then compared those rates to the quality of the printed product.

Bid reflects management’s view that company is undervalued, belief in future growth

The NCIB reflects management’s position that the current share price does not reflect the Company’s underlying value and future prospects.

The NCIB will expire on April 1, 2021. The Company currently has 155,676,025 issued and outstanding Subordinated Voting Shares.

Predictive Oncology Inc. (NASDAQ: POAI), a leader in the cancer precision-medicine field, entered into a securities purchase agreement with certain accredited investors to purchase shares of common stock; the company plans to use the net proceeds from the purchase agreement for general corporate purposes.
POAI, a company that focuses on providing predictive models of tumor drug response to improve clinical outcomes for patients, provided details of the securities purchase agreement in a March 16 announcement (http://nnw.fm/r6SCU).
The company explained that “it has entered into a securities purchase agreement with certain accredited investors to raise $3.5 million through the issuance of up to 1,650,165 shares of common stock (or common stock equivalents) and accompanying warrants to purchase an aggregate of up to 3,300,330 shares of common stock at $2.121 per share of common stock and accompanying warrants.
“The warrants will be exercisable immediately at an exercise price of $1.88 per share, with one-half of the warrants to expire two years after the date of issuance, and one-half to expire five and one-half years after the date of issuance,” the statement continued. “The closing of the private placement is subject to the satisfaction of certain customary closing conditions set forth in the securities purchase agreement.”
The release noted that the offer and sale of the securities are being made in a transaction not involving a public offering and have not been registered under the Securities Act of 1933 or applicable state securities laws. As a result, the securities may not be reoffered or resold in the United States except pursuant to an effective registration statement or an applicable exemption from the registration requirements of the Securities Act and such applicable state securities laws.
Under an agreement with the investors, however, POAI will be required to file an initial registration statement with the Securities and Exchange Commission covering the resale of the shares of common stock to be issued to the investors no later than 30 days after the closing of the agreement.
